Editorial summary

The court considered OÜ Tellmin’s appeal against the Viru Maakohus ruling of 08.08.2012. After payment of the debt, the apartment association Puškini 11 waived its claim and the proceedings were terminated; the defendant challenged the award of 417,60 euros in representation costs.

The dispute and the court’s decision

The apartment association Puškini 11 brought a debt recovery claim against OÜ Tellmin. After the amount claimed was paid, the association waived its claim and requested termination of the proceedings, a refund of half the state fee and reimbursement of costs. On 8 August 2012, Viru Maakohus accepted the waiver, terminated the case and ordered the defendant to bear the costs. It awarded 577,37 euros, including 417,60 euros in representation costs and the non-refunded 159,77-euro portion of the state fee. A further 159,78 euros of the fee was to be refunded to the association by the state. OÜ Tellmin appealed against the ruling, seeking removal of the 417,60 euros in representation costs. It considered the dispute straightforward and the costs unnecessary, and referred to its own settlement proposal. The association replied that payment had been made during the proceedings and that preparing submissions and using a representative had been necessary because disagreements continued. The circuit court upheld the ruling. Under the rule it applied, the defendant bears the costs if the claimant waives the claim because it was satisfied after proceedings were brought. The rule on costs where a claim is partly granted within the scope of a proposed settlement did not apply: the proceedings ended through waiver following full payment, rather than a partial determination of the claim. The court found reviewing the file, preparing submissions, analysing objections and the representative’s attendance at the hearing necessary and justified. The appeal against the ruling was dismissed; the costs of that appeal were not reimbursable. The ruling reviews termination and costs; it does not award the debt again.

Outcome of this decision

Uphold the Viru Maakohus ruling of 08.08.2012. Dismiss OÜ Tellmin’s appeal against the ruling. Termination of the proceedings and the first-instance award of 577,37 euros in costs therefore remain in place. The reasons separately state that the costs of this appeal are not reimbursable.

Editorial summary

Following the company’s payment, the association withdrew its claim. The court ended the case but ordered the company to bear necessary proceedings costs.

The dispute and the court’s decision

KORTERIÜHISTU PUŠKINI 11 brought a monetary claim against Osaühing TELLMIN. After proceedings began, the company paid the principal and late-payment interest in instalments. The association withdrew its claim and sought costs and repayment of half the court fee. The company argued that the claimant should bear costs on withdrawal and challenged the need for legal expenditure. The court accepted the withdrawal and ended the proceedings without awarding the principal again. The association cannot bring the same claim against the same defendant on the same basis again. Because payment followed the court action, TELLMIN was ordered to bear costs. The company must pay the association 577.37 euros: 417.60 euros for representation and 159.77 euros in court fees. The 76.70 euros paid for legal assistance from Imege Grupp OÜ was not recoverable because that company had not been shown to act as a procedural representative. The necessary costs of the actual contractual representative were considered justified. Separately, 159.78 euros in court fees was ordered to be refunded to the association from the state budget. The court included the payment-order procedure fee in the total fee paid. That refund is distinct from the 159.77 euros payable by the company. The order does not establish that the awarded costs or refund were actually received. It does not describe the particular works, services or charges underlying the original debt.

Outcome of this decision

The withdrawal was accepted and proceedings ended after payment of the principal claim. TELLMIN must pay 577.37 euros in costs; the association is separately to receive a 159.78-euro court-fee refund.

Editorial summary

On the hearing date, the association and OÜ Procedendo agreed on payment of arrears and waiver of other claims, with a specific exception for September 2012 services.

The dispute and the court’s decision

The apartment association Puškini tn 19 claimed arrears from OÜ Procedendo for services related to apartment ownership. At the hearing on 28 September 2012, the parties signed a settlement and asked the court to approve it and terminate proceedings. The order does not contain detailed initial calculations or separate objections from the defendant. The defendant undertook to pay 227,82 euros within two days after the order became final. The agreement covered the services dispute for the period before the date specified in it. Under the agreement, once that payment was made, the association would confirm that it had no other claims and waive potential existing and future claims, while expressly retaining claims for September 2012 services. The agreement therefore does not extinguish obligations for September 2012 services. The parties agreed that they had no mutual claims concerning the proceedings being concluded and would each bear their own litigation costs. They confirmed that they understood the consequences of termination and waived the right to appeal the order. The court found the agreement consistent with their intentions and interests, approved its terms and terminated proceedings. At the association’s request, the court ordered reimbursement of 127,82 euros, half of the 255,64-euro court fee. This is a different amount from the defendant’s payment and is not included in it. The copy bears a finality stamp dated 28 September 2012; the order records the defendant’s obligation to pay but does not itself prove receipt of funds or fulfilment of the condition for waiving the remaining claims.

Outcome of this decision

Approve the settlement and terminate proceedings. OÜ Procedendo is to pay the association 227,82 euros within two days after the order becomes final; after payment the association’s waiver of other claims applies, except for claims for September 2012 services. Each party bears its own costs. Reimburse the association 127,82 euros, half of the court fee; the parties waived an appeal.

Editorial summary

Claimant XX sought a declaration of nullity and invalidation of the apartment association Narva Sõbralik meeting decisions of 06.05.2010, relying primarily on the failure to provide documents two weeks before discussion. The court considered XX’s appeal against Viru Maakohus’s dismissal judgment of 16.05.2011.

The dispute and the court’s decision

Claimant XX challenged decisions of the apartment association Narva Sõbralik (now – Narva linn, A. Puškini tn 2a korteriühistu) general meeting of 6 May 2010, seeking a declaration that they were void from adoption or an order invalidating them. The dispute concerned advance access to the management plan, report and balance sheet. The claimant said the necessary documents had not been provided two weeks before the meeting. The association objected that the convening procedure had been followed, documents had been sent, and breach of the duty to inform did not by itself prevent the meeting from taking place. Viru Maakohus dismissed the claim on 16 May 2011. The first-instance court acknowledged that the period for examining documents had been breached but considered this insufficient to grant the claim. Claimant XX appealed for the judgment to be set aside. The circuit court agreed with the assessment of the evidence that documents had been provided late, but rejected the legal conclusion that this had no consequences. The management plan and report were handed over only three days before discussion; provision of the balance sheet had not been established. Under the rules then applied, advance access had to allow association members reasonable time to assess important management matters. That provision did not, however, require the audit committee’s report to be sent as well. The appeal was allowed in part. The court set aside the dismissal concerning approval of the 2009 report, the 2010 budget, and the 2010 repair work and repair fund contribution rate, and itself invalidated these three decisions. Dismissal of the challenge to the fourth decision, on how received payments were accounted for, remained unchanged: the court found no connection with the established breach. Costs at both levels were allocated 25% to claimant XX and 75% to the association; the association was also ordered to pay 50 euros in court fees to the state. The result invalidates specific decisions; it does not declare every decision of the meeting void from the outset.

Outcome of this decision

Allow the appeal in part. Set aside the first-instance dismissal of the challenge to decisions under items 1–3 of the 06.05.2010 meeting and give a new judgment in that part: invalidate approval of the 2009 report, the 2010 budget, and the 2010 repair work and repair fund contribution rate. Leave the rest unchanged. First-instance and appeal costs: 25% borne by claimant XX and 75% by the apartment association Narva Sõbralik. Order the association to pay 50 euros in court fees to the state within 15 days after the judgment becomes final.

Narva Sõbralik: the initial dismissal over meeting documents was later partly reversed

Judgment · Viru Maakohus · First instance

Korteriühistu Narva Sõbralik · 80245744

Entry into force has not been reverified

Participants and roles: Claimant — XX, an association member; Defendant — Korteriühistu Narva Sõbralik

Editorial summary

The first-instance court dismissed the challenge, but the appended appellate ruling changed the outcome for three financial decisions and for costs.

The dispute and the court’s decision

XX challenged Korteriühistu Narva Sõbralik’s meeting decisions of 6 May 2010 on reporting and the management plan. XX alleged that the board had not supplied the necessary documents two weeks beforehand. The association maintained that the materials had been delivered in time. The first-instance court refused both to declare the decisions void from the outset and to set them aside. It distinguished convening requirements from the duty to supply financial documents in advance. It found no defect in notice of the meeting itself. However, the association had not proved delivery two weeks beforehand or delivery of the balance sheet. Receiving some materials only three days before the meeting did not properly fulfil that duty. The court found no separate duty under the applicable provision or articles to supply the audit committee report. Despite these shortcomings, the first-instance court considered that XX could attend, ask questions and vote, and dismissed the claims. That initial result was subsequently changed in part on appeal. The saved source includes Tartu Ringkonnakohus’s operative ruling of 11 June 2012. It set aside three decisions: approval of the 2009 annual report, the 2010 budget, and the 2010 repairs and repair-fund tariff. The remainder of the judgment was upheld. This set aside specified decisions; it did not declare every meeting decision void from the outset. Costs in both court instances were allocated 25% to XX and 75% to the association. The association was additionally ordered to pay 50 euros in court fees to the state. The original allocation of all costs to XX did not survive. The source does not include the full appellate reasoning or establish actual payment.

Outcome of this decision

The original full dismissal was partly reversed on 11 June 2012: three meeting decisions were set aside. Costs in both instances: 25% XX and 75% the association; an additional 50-euro fee is payable by the association to the state. The remainder was upheld.

Entry into force has not been reverified

Editorial summary

The owner challenged charges and meeting decisions. Dismissal was upheld because the decisions were challenged late, an agreement covered the earlier period and later calculation errors were not specified.

The dispute and the court’s decision

XX challenged heating, service, room-use, advertising and waste charges imposed by KÜ Puškini tn 12, as well as general meeting decisions from 2003, 2005 and 2008. XX alleged lack of meeting notice, an overstated calculation area and the absence of a written room-use agreement. The circuit court upheld dismissal on distinct grounds. Under the three-month rule applied in this case, time ran from learning of a decision, not necessarily receiving the minutes. The court found that XX should have known of the decisions by the time a notarised debt agreement was made. The challenge was late, so the substantive allegations about meeting notice were not examined. Charges for the period covered by the notarised agreement were not set aside because the agreement remained valid and had not been terminated. Later payments were assessed against the meeting decisions that remained in force. Lack of a written agreement did not exclude a room-use charge: the court found an oral lease. For heating and services it considered an invoice recalculated using the actual area. XX had not identified the later months or charges left uncorrected. The appeal was dismissed and costs in both courts left with XX. Whether good faith could prevent enforcement of a meeting decision was not assessed, as no such claim had been made.

Outcome of this decision

XX’s appeal was dismissed and the county court judgment of 5 August 2011 remained unchanged. The claims to set aside meeting decisions and calculations were unsuccessful. Costs in both courts remained with XX.

Puškini tn. 12: challenge to decisions and charges dismissed after expiry of the three-month time limit

Entry into force has not been reverified

Participants and roles: claimant XX — owner of non-residential premises; claimant’s adviser XX; defendant — Puškini tn.12 korteriühistu; association’s management board member XX; association’s contractual representative XX

Editorial summary

Claimant XX challenged charges and meeting decisions on payments. The association relied on the time limit for challenging decisions and reported correcting the heating calculation.

The dispute and the court’s decision

Claimant XX, the owner of non-residential premises, challenged charges made by the apartment association Puškini tn. 12. The claimant referred to an overstated floor area used for heating charges, payments for rent, advertising and waste collection, and the lack of an opportunity to examine meeting decisions in time. In an amended claim, the claimant sought to have decisions from 2003, 2005 and 2008, and the charges based on them, set aside. The association objected that the claimant was its member, could participate in management and obtain documents, and had missed the time limit for challenging decisions. It also reported recalculating heating charges according to the area of the property. The court examined these positions and noted that, under the law applied at the time, decisions on management of the building were binding on association members. The claimant argued that the minutes had only been received with the defence in December 2010. The court found it unproven that the claimant had learned of the disputed decisions only then: the claimant had known about the disputed payments by January 2010, but formulated the specific request to set aside the decisions in January 2011. The court concluded that the three-month time limit for bringing the challenge had expired. By its judgment of 5 August 2011, the court dismissed the claim in full. Claimant XX was left to bear both the claimant’s own costs and the association’s costs; their monetary amount was not determined in the operative part. The court dismissed the claim because the time limit had expired and the decisions remained binding; it did not separately examine the correctness of every monthly charge. It referred specifically to the recalculation of heating charges confirmed by an invoice. This decision does not describe the subsequent course of the case.

Outcome of this decision

Dismiss the claim challenging the charges in full. Leave the defendant association’s costs to claimant XX and the claimant’s own costs to the claimant. The operative part does not determine the monetary amount of reimbursement.

Editorial summary

The meeting introduced different cost calculations for individual and corporate owners. The court found owner status alone insufficient and upheld invalidation of those parts of the decision.

The dispute and the court’s decision

OÜ Esteetilise Meditsiini Keskus Gratsija challenged the meeting decision of 1 April 2010 concerning the management plan and different cost allocation for individual and corporate owners. The plan used rates of 82.91 kroons/m² and 125.79 kroons/m². The association argued that corporate owners consumed more services. The county court invalidated the parts amending clause 4.2.e of the articles and introducing different management-cost calculations for the two groups. The circuit court upheld that result. Departure from an area-based method was possible, but the articles had to specify which costs were allocated differently and how. Owner status alone was insufficient. The wording used the type of owner, rather than objectively measured consumption. Corporate ownership did not itself prove greater service use. The court also rejected the allegation that the judgment exceeded the claim. The claimant clarified its purpose after initially unavailable documents were obtained, and the issues were discussed with the parties. Inadequate clarification at the preliminary stage had not produced an incorrect outcome here. The appeal was dismissed and costs left with the association. Only specified parts of the decision were invalidated, not the whole management plan without distinction.

Outcome of this decision

The county court judgment of 29 September 2010 remained unchanged and the appeal was dismissed. Invalidation of the parts amending clause 4.2.e and introducing different cost calculations for the owner groups was maintained. Costs were left with KÜ Puškini 20.

Editorial summary

A company that was a member of the association challenged an amendment to the articles and a management plan establishing different maintenance rates for individuals and legal entities.

The dispute and the court’s decision

OÜ Esteetilise Meditsiini Keskus Gratsija challenged decisions of the apartment association Puškini 20’s meeting of 1 April 2010. The company objected to changes to the articles of association and management plan that allowed maintenance charges to be calculated differently for individuals and legal entities. The claimant argued for payment in proportion to floor area and also said it had not been given the draft plan. The association justified the additional burden of business premises by reference to visitors, security, cleaning and maintenance of common areas. It argued that distributing additional costs equally would be unfair and that the necessary documents had been sent to the claimant. The annual plan applied different calculation figures to the two groups: 82,91 and 125,79 kroons per square metre. The court found that floor area was used for everyone, but the rates differed according to the category of owner and the use of the premises. Applying the rules then in force, it distinguished an alternative method of allocating particular types of costs from different maintenance rates for different groups. In the court’s view, the option to provide a different calculation method in the articles did not justify introducing such different rates. The court disagreed that the draft management plan had not been supplied at all, but noted that the allocation method had not been sent to the claimant. By its judgment of 29 September 2010, it granted the claim, setting aside the relevant part of the amendment to clause 4.2e of the articles and the part of the management plan providing for a special calculation of costs. This set aside specific provisions; it did not declare all the meeting’s decisions void. The association was ordered to bear the claimant’s costs as well as its own; the judgment did not determine their monetary amount.

Outcome of this decision

Grant the claim. Set aside the part of the decision under agenda item 4 amending clause 4.2e of the articles that allowed different allocation rules for the two groups, and the part of the decision under agenda item 3 providing for a special calculation of management costs in the 2010 plan. The association is to bear the claimant’s costs and its own costs.

Editorial summary

On rehearing, the company’s management-charge debt was proved.

The dispute and the court’s decision

KÜ Puškini 10 (now — Narva linn, A. Puškini tn 10 korteriühistu). KÜ Puškini 10 claimed management and utility charges from OÜ Analan Auto. On 14 May 2010 Tartu Ringkonnakohus overturned the initial refusal of 18 December 2009 and remitted the case to establish the amount of costs. On rehearing, the court examined the charter, tariff and roof-repair decisions, corrected bills and a consolidated calculation. The company disputed the basis of charges and treated its payments as water payments. The court affirmed the non-residential owner’s common-cost obligations, found the claim proved and found the alleged water payments unsupported by the required evidence. The claim was allowed for 3,114.73* euros. The new reasoning states that no late-payment interest was claimed. Costs were imposed on the company without fixing their amount separately.

Outcome of this decision

3,114.73* euros awarded; company bears costs, whose amount was not separately fixed.

Editorial summary

An incorrect allocation method did not invalidate the entire repair decision.

The dispute and the court’s decision

Korteriühistu Narva Sõbralik (now — Narva linn, A. Puškini tn 2a korteriühistu). Korteriühistu Narva Sõbralik claimed earmarked facade and balcony repair contributions and late-payment interest from XX. The defendant disputed equal per-apartment contributions and the decision-making procedure. The county court refused the claim. The circuit court agreed that allocation contravened law and the charter but held only that part void, meaning legally ineffective: area-based allocation replaces it, while the decision to collect funds survives. Discussion of the management plan covered repairs and funding; defective notice was not established. Work and expenditure were proved. The share-based calculation exceeded the claim, so only the amount claimed was allowed and the refusal overturned. XX bears costs in both instances. A 2010 meeting decision provided an additional basis. The judgment does not endorse the original equal allocation or establish later payment.

Outcome of this decision

Refusal overturned and claim allowed within its limits; XX bears costs in both instances.

Editorial summary

After being required to remedy deficiencies in the claim, claimant XX submitted a new text, but the specific decisions challenged and the separate claims remained unclear.

The dispute and the court’s decision

Claimant XX brought a claim against the apartment association Puškini tn. 12 challenging decisions and charges for maintenance, rent, advertising and waste collection. The claimant also asked the court to obtain documents so that further claims could then be formulated. The court required the deficiencies in the claim to be remedied by clarifying its subject matter, grounds and evidence. A revised claim was submitted, but it did not identify the specific decisions, meeting dates or circumstances showing an infringement of rights. The court noted that several claims could be joined, but each had to be expressed clearly. A request for documents has a separate subject matter and does not replace the need to formulate claims seeking to set aside decisions. By its order of 9 July 2010, the court refused to accept the application for proceedings because the deficiencies had not been remedied. Costs were left to claimant XX; the documents were to be returned after the order entered into force. The court explained that a returned application is regarded as never having been filed or pending before the court. This act did not resolve the disputed charges or the validity of the general meeting’s decisions. The procedural refusal does not establish a debt or mean that the unspecified claims were examined and dismissed on their merits.

Outcome of this decision

Refuse to accept the claim for proceedings against the apartment association Puškini tn. 12, send the order to claimant XX and leave the costs to the claimant. Return the claim and its attachments after the order enters into force.

Editorial summary

The circuit court set aside dismissal of the maintenance and service-charge claim. The association must prove the costs and their allocation; the case was remitted without an award.

The dispute and the court’s decision

An association whose name is concealed in the source sought maintenance charges, utility payments and late-payment interest from OÜ Analan Auto. The claim was increased to 29 595 kroons. The association relied on a maintenance contract. The company disputed the services, calculation and interest, and referred to sewer problems. The county court dismissed the claim because the invoices did not establish what was payable or how much. The circuit court set aside the judgment in full and remitted the case; it did not award the amount claimed. A non-residential owner’s obligation to contribute to necessary management costs arises from statute, not solely from a maintenance contract. The association must nevertheless prove the costs’ composition, quantity, price and amount, and equal allocation principles for other owners. The contract and invoices did not themselves establish this. However, an invoice to an owner does not inherently have to satisfy every requirement for an accounting source document. The court directed use of the statutory late-payment rate. Material facts had not been established. The fresh proceedings must clarify the claim and evidence and allow the defendant to respond. The sewer materials were considered irrelevant to deciding this claim; the system is common property. The court did not establish that it was in proper condition or decide a separate damages claim. Costs remained for the county court.

Outcome of this decision

The county court judgment of 18 December 2009 was set aside in full and the case remitted to the same county court. The 29 595 kroons claimed were not awarded by this judgment. Costs were left for the fresh proceedings.

Editorial summary

After bringing a monetary claim, the association reported an out-of-court settlement; the court treated its request to end the dispute as waiver of the claim.

The dispute and the court’s decision

The apartment association Puškini 25 brought a claim against OÜ LAHKUS for 14 389,34 kroons. The association later reported that the parties had reached a compromise, that it no longer had any claims against the defendant, and asked the court to leave the case without examination. The court explained the consequences of waiving a claim and assessed the application according to its substance. By its order of 15 February 2010, the court specifically accepted waiver of the claim and terminated the proceedings. It did not approve the detailed terms of the out-of-court agreement as a judicial settlement or award the debt claimed. The act contains no specific payment deadlines or confirmation of payment. The defendant did not seek reimbursement of its costs from the association. In view of the absence of further claims and the agreement reached, the court left each party to bear its own costs and set no amount of mutual reimbursement. Although the claimant had asked for the case to be left without examination, the court treated its application as waiver of the claim and terminated the proceedings.

Outcome of this decision

Accept the apartment association Puškini 25’s waiver of its claim against OÜ LAHKUS for 14 389,34 kroons and terminate the proceedings. Send a copy of the order to the parties and leave each party to bear its own costs.
